Terms of Service

1. Acceptance of Terms

By accessing or using queryvine.com or any service offered by Queryvine ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and Queryvine, located at 1395 Brickell Avenue, Suite 800, Miami, FL 33131.

2. Description of Service

Queryvine provides a real-time data pipeline orchestration platform with schema drift detection, DAG-based scheduling, and connector integrations for data engineering teams. The Service is offered on a free tier and paid subscription basis as described on our Pricing page.

3. Eligibility and Account Registration

You must be at least 18 years old and capable of entering into a binding contract to use the Service. By creating an account, you represent that the information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

• Use the Service in any way that violates applicable law or regulation;
• Transmit harmful, offensive, fraudulent, or deceptive content;
• Reverse-engineer, decompile, or attempt to extract the source code of the Service;
• Interfere with or disrupt the integrity or performance of the Service;
• Access the Service through automated means in ways that exceed reasonable API usage;
• Use the Service to compete with Queryvine or to develop a competing product without our written consent.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Queryvine and its licensors. Our trademarks may not be used in connection with any product or service without our prior written consent. The Queryvine open-source connector SDK is separately licensed under its applicable open-source license as stated in its repository.

6. User Content

You retain ownership of pipeline configurations, YAML definitions, and other data you submit to the Service ("User Content"). By submitting User Content, you grant us a limited license to process, store, and transmit it solely to provide the Service. We do not access User Content for advertising or to train AI models.

7. Fees and Payment

Paid plans are billed monthly or annually as selected. All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy. We reserve the right to modify pricing with at least 30 days' notice to existing subscribers. Failure to pay may result in suspension or termination of your account.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE STATE LAW, QUERYVINE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR DIRECT DAMAGES ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be submitted to non-binding mediation. If mediation fails, disputes shall be resolved by binding arbitration in Florida, USA, under the rules of the American Arbitration Association (AAA). The arbitrator's decision shall be final and binding.

You agree that disputes shall be resolved individually, not as part of a class or representative action. Nothing in this section limits either party's right to seek emergency injunctive relief from a court of competent jurisdiction.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive.

12. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice on the Service. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.
